In short. A school subscribes to Academiq to run its administration. The school keeps ownership of its data, pays for the plan it chooses, and is responsible for who it gives access to. We keep the service running and handle the data as described in our Privacy Policy.
1. This agreement
These terms form an agreement between (“Academiq”, “we”, “us”) and the institution that subscribes to the service (“the School”, “you”). By creating an account or using Academiq, you accept these terms on behalf of the School and confirm you are authorised to do so.
2. Definitions
- Service — the Academiq platform and any related documentation and support.
- School — the institution registered on the account.
- Authorised User — anyone the School gives access to, including administrators, teachers, accountants, staff, students and parents.
- School Data — all data the School or its Authorised Users enter into or upload to the Service.
3. Accounts and access
- The School is responsible for the accuracy of its registration details.
- The School is responsible for everything done under its account, including by its Authorised Users.
- Credentials must not be shared. The School must tell us promptly if it believes an account has been compromised.
- The School decides which roles and permissions its Authorised Users hold, and is responsible for keeping those appropriate.
4. Free trial
A new School may start one 14-day free trial. The trial gives access to the features of the selected plan. Only one trial is available per School. When the trial ends, access is restricted until a paid subscription is taken out.
5. Subscriptions, fees and renewal
- Plans are billed monthly or yearly, in advance, in Nigerian Naira. Yearly billing is offered at a discount to the equivalent monthly price.
- Payments are processed by Paystack. By subscribing you authorise recurring charges for the plan you select until you cancel.
- Subscriptions renew automatically at the end of each billing period unless cancelled beforehand.
- If a payment fails, the subscription enters a grace period before access is restricted. The length of that period is shown in your subscription settings.
- We may change our prices. Where we do, we will give notice before the change applies to your next renewal.
6. Cancellation and refunds
- A School may cancel at any time from its subscription settings. Cancellation stops future renewals; access continues until the end of the period already paid for.
- Fees already paid are not refunded except where the law requires, or where we have failed to provide the Service and cannot put it right.
7. Acceptable use
The School and its Authorised Users must not:
- use the Service unlawfully, or to store or send unlawful material;
- upload material that infringes someone else's rights;
- attempt to access data belonging to another School, or any account they have not been given access to;
- probe, scan or test the security of the Service without our written permission;
- interfere with the Service or place an unreasonable load on it;
- copy, resell or sublicense the Service, or attempt to derive its source code.
If you believe you have found a security vulnerability, please report it to support@academiqedu.com rather than exploiting it.
8. School Data
- The School owns its School Data. We claim no ownership of it.
- The School grants us the limited licence needed to host, process, back up and display that data in order to provide the Service.
- The School is responsible for having a lawful basis to collect the personal data it enters, including data about children, and for giving any notices or obtaining any consents the law requires.
- We handle School Data as a processor, on the School's instructions, as set out in the Privacy Policy.
9. Availability and support
We aim to keep the Service available at all times but do not guarantee uninterrupted access. We may suspend access for planned maintenance, and will give reasonable notice where we can. Support is provided by email at support@academiqedu.com. [ADD ANY COMMITTED UPTIME OR RESPONSE TIMES]
10. Suspension and termination
- Access is restricted when a subscription expires or is not paid after the grace period.
- We may suspend or terminate an account that breaches these terms, or where required by law. Where practical we will give notice and an opportunity to put the breach right.
- On termination, the School may export its data during the retention window described in the Privacy Policy, after which it is deleted.
11. Disclaimers
The Service is provided “as is”. To the extent the law allows, we exclude implied warranties of merchantability, fitness for a particular purpose and non-infringement. Academiq is a record-keeping tool; the School remains responsible for the accuracy of its records and for its own academic, financial and regulatory decisions.
12. Limitation of liability
To the extent the law allows, neither party is liable for indirect or consequential loss, or for loss of profit, revenue, goodwill or anticipated savings. Our total liability arising out of or in connection with these terms is limited to the fees paid by the School in the [12] months before the event giving rise to the claim.
Nothing in these terms excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.
13. Indemnity
The School will indemnify us against claims arising from its School Data or from its use of the Service in breach of these terms, except to the extent the claim is caused by our own breach.
14. Changes to these terms
We may update these terms. The date at the top shows when they were last revised. Where a change materially affects a School's rights, we will give notice before it takes effect. Continuing to use the Service after that point means accepting the revised terms.
15. Governing law
These terms are governed by the laws of the Federal Republic of Nigeria.
